What is the validity period of the Enterprise Registration Certificate?

Up to now, there has been no official legal document stipulating the validity period of the Enterprise Registration Certificate.

Clause 3, Article 33 of the Law on Enterprises 2020 provides that once issued, an enterprise has the right to operate continuously and stably until it voluntarily decides to dissolve or has its certificate revoked by a competent state authority due to serious legal violations.

Therefore, in response to the question of the validity period of a business license, the Enterprise Registration Certificate is valid for an indefinite term. However, to maintain this status, the enterprise must still comply with the necessary legal requirements.

Cases of revocation of the Enterprise Registration Certificate

Although the Enterprise Registration Certificate does not have a fixed validity period, enterprises may still face revocation of the certificate in the following cases:

False declaration in the registration dossier

The information declared in the enterprise registration dossier includes: enterprise name, business address, capital, legal representative details, etc. Any falsification of declared information or registration change contents may result in revocation of the Enterprise Registration Certificate.

Suspension of operations for more than 06 months without notification

If an enterprise suspends operations for six (06) consecutive months or more without notifying the Business Registration Authority, it will receive a written notice of violation and be required to provide an explanation. Within 10 days from the notification, if the enterprise fails to provide an explanation or the explanation is not accepted, the authority will issue a decision to revoke the Enterprise Registration Certificate.

Engaging in prohibited business lines

If an enterprise conducts business activities in prohibited sectors and is detected, the district-level Business Registration Authority will issue a notice of violation and a decision to revoke the Enterprise Registration Certificate.

Violation related to eligibility of founding members/shareholders

All individuals and organizations have the right to establish an enterprise, except those specified in Clause 2, Article 17 of the Law on Enterprises 2020.

If the founder falls under prohibited categories, it is considered a failure to meet the conditions for enterprise establishment. The Business Registration Office will handle as follows:

  • For private enterprises and single-member limited liability companies owned by an individual: issue a notice of violation and a decision to revoke the Enterprise Registration Certificate.
  • For single-member limited liability companies owned by an organization, multi-member limited liability companies, partnerships, and joint-stock companies: issue a notice of violation and require replacement of members/shareholders. Within 30 days from the notice, if the enterprise fails to complete such changes, the Business Registration Office will issue a decision to revoke the Enterprise Registration Certificate.

Other cases

Other cases of revocation of the Enterprise Registration Certificate shall be implemented in accordance with court decisions or upon request of competent authorities under Vietnamese law.

Notes on sub-licenses for conditional business lines

  • Food safety and hygiene certificate: Issued by the Department of Health, valid for 03 years and must be renewed 06 months prior to expiry.

  • Administrative penalties: Significant fines may be imposed depending on the sector of violation.
